Agreement to Terms

By accessing or using Mid-Manager ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service. If you are in the European Union or European Economic Area, mandatory consumer or data-protection rights under applicable law continue to apply and are not limited by these Terms.

Operator and Location

The Service is operated from the European Union. For the purposes of these Terms and applicable European legislation (including the GDPR), the relevant jurisdiction is Luxembourg. We comply with the laws of Luxembourg and the European Union and make our Service available in a manner compatible with requirements in the United States and other regions where we operate.

Description of Service

Mid-Manager is a management intelligence platform designed to help engineering managers identify signals, track team health, and make informed decisions. The Service integrates with third-party tools to provide insights based on metadata analysis. We process personal data in accordance with our Privacy Policy and applicable data protection law, including the EU General Data Protection Regulation (GDPR) where applicable.

Accounts

When you create an account, you must provide accurate and complete information. You are responsible for maintaining the security of your account and password. You agree to notify us immediately of any unauthorized use.

You may not use the Service if you are under 16 years of age (or the higher age required in your jurisdiction, e.g. 18 where applicable) or if you have been previously banned from the Service.

Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in breach of applicable law
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or disassemble any part of the Service except where expressly permitted by mandatory law
Use the Service to harass, abuse, or harm others
Upload or transmit viruses or malicious code
Violate any applicable laws or regulations, including EU or national law

Intellectual Property

The Service and its original content, features, and functionality are owned by Mid-Manager and are protected by international copyright, trademark, and other intellectual property laws, including those of the European Union and Luxembourg. You may not copy, modify, or distribute any part of the Service without our prior written consent.

Your Data

You retain ownership of any data you provide to the Service. By using the Service, you grant us a limited license to use, process, and store your data solely for the purpose of providing the Service and as described in our Privacy Policy. Third-Party Integrations

The Service may integrate with third-party services (such as Jira, GitHub, or Slack). Your use of these integrations is subject to the respective third-party terms. We are not responsible for the availability, accuracy, or content of third-party services. Where we act as a data processor for integrated services, we do so in accordance with applicable data processing agreements and EU requirements.

Subscription and Payment

Some features of the Service require a paid subscription. By subscribing, you agree to pay all applicable fees. Subscriptions automatically renew unless cancelled before the renewal date. Refunds are provided in accordance with our refund policy and, where you are a consumer in the EU/EEA, in line with your statutory rights.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. TO THE EXTENT PERMITTED BY APPLICABLE LAW (INCLUDING EU CONSUMER LAW WHERE APPLICABLE), WE DISCLAIM IMPLIED WARRANTIES.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MID-MANAGER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE. NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FRAUD, OR WHERE SUCH LIMITATION IS NOT PERMITTED BY THE LAW OF YOUR JURISDICTION (E.G. MANDATORY CONSUMER RIGHTS IN THE EU/EEA).

Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email or through the Service. Where required by law (e.g. for substantial changes affecting consumers in the EU), we will give you advance notice and the opportunity to terminate. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.

Termination

We may terminate or suspend your account and access to the Service in accordance with these Terms and applicable law. Upon termination, your right to use the Service will cease. We will handle your personal data after termination as set out in our Privacy Policy and in line with retention and deletion obligations under the GDPR and other applicable law.

Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of Luxembourg, without regard to its conflict of law provisions. The courts of Luxembourg shall have non-exclusive jurisdiction over any dispute arising out of or in connection with these Terms. If you are a consumer habitually resident in the EU/EEA, you also benefit from any mandatory consumer protection and jurisdiction rules of your country of residence. We comply with European legislation and make our Service available in a way that is compatible with requirements in the United States and other regions.
